BY-LAWS
of
GEORGIA FEDERAL/MILITARY RETIREE COALITION, INC.
ARTICLE I ~ NAME
This organization shall be known as the “Georgia Federal/Military Retiree Coalition, Inc., hereinafter referred to as the “Coalition.”
ARTICLE II ~ OBJECTIVES
The objectives of the Coalition shall be to aid and support all Coalition members, their spouses, and households; to promote the general welfare of all Federal and Military retired members; and to support civic and patriotic activities upholding American institutions and ideals.
ARTICLE III ~ MEMBERSHIP
Membership in the Coalition shall be open to all Georgia chapters and associations of Federal and Military retiree organizations that make a donation to the Coalition each year. Any Federal or Military retiree may become an Individual Member by payment of the annual dues set forth in ARTICLE IV to these By-Laws.
ARTICLE IV ~ REVENUES
Revenues to meet expenses of the Coalition shall be obtained by annual donations from chapters and associations of Federal and Military retirees and dues from individual members set annually by the Board of Trustees, payable on or before March 1st of each year.
ARTICLE V ~ TERMINAL DISPOSITION OF ASSETS
In the event of the dissolution of the Coalition, the remaining assets shall be distributed equally to the Georgia chapters and associations that have made annual contributions to the Coalition over the previous five years.
ARTICLE VI ~ CONVENTIONS
Section 1 – The Convention of the Coalition shall be held annually at such time and place as shall have been fixed by the Board of Trustees.
Section 2 – Voting Delegates at the conventions shall include members of the Board of Trustees, the President of each member chapter and association, and individual members whose dues are current.
Section 3 – A quorum necessary to transact business at any such convention shall consist of all voting delegates present and in good standing.
Section 4 – In the absence of any special rule, Robert’s Rules of Order shall govern the deliberations of the Coalition.
ARTICLE VII ~ FISCAL YEAR
The Fiscal Year of the Coalition shall begin on the first day of July each year, and end on the 30th day of June the following year.
ARTICLE VIII ~ THE BOARD OF TRUSTEES
Section 1 – The governing body of the Coalition shall be the Board of Trustees which will consist of six elected trustees who are retired military members and six elected trustees who are retired federal civilian members, the Georgia State President of the Military Officers Association of America, the presidents of other Georgia military retiree organizations, the Georgia Federation President of the National Active and Retired Federal Employees, and the Immediate Past President of the Coalition. Election of Trustees shall be conducted at the annual Coalition convention.
Section 2 – Trustees shall be elected for a period of three years, and one third of the trustees will be elected at each annual convention.
Section 3 – Any interim trustee vacancy shall be filled for the unexpired term by a majority vote of the Board of Trustees.
Section 4 –Board of Trustees members may be elected to succeed themselves.
Section 5 – Coalition officers and committees as indicated in ARTICLE IX hereinafter, shall be elected/appointed each year by the Board of Trustees from their number to serve terms of one year. Coalition officers may be elected to succeed themselves. The office of President and 1st VP shall alternate between a military and a civilian member every time a new President or 1ST Vice President is elected. The Board of Trustees shall have the right to remove any officer or committee member for cause by a vote of two-thirds of the members of the Board of Trustees.
Section 6 – The Board of Trustees is authorized to appoint a qualified individual member to serve as Legal Advisor.
Section 7 – The Board of Trustees shall meet at least once each calendar quarter to carry out the mandates of these By-Laws and those of the Coalition Convention; to attend to Coalition business between conventions; and to direct management of Coalition funds, including disbursements, compensations for services rendered the Coalition, travel and other related expenses.
Section 8 – A majority of the members of the Board of Trustees shall constitute a quorum for the transaction of Coalition business. All actions of the Board of Trustees shall be by a majority vote of those trustees present at the meeting.
ARTICLE IX ~ COALITION OFFICERS AND THEIR DUTIES
Section 1 – President ~ The President shall be the Executive Officer of the Coalition and the Board of Trustees. The President shall preside at all meetings and conventions; approve payment of funds authorized by the Board of Trustees, be responsible for organizing and coordinating plans and arrangements for the Coalition Convention, and execute any directives of the Board of Trustees.
Section 2 – First Vice President ~ The First Vice President shall preside and assume the duties of the President in the event of absence or disability. The First Vice President shall develop and generate Coalition publicity for the enhancement of membership. Deputies may be appointed to assist the First Vice President in discharging all of the duties of the office, except those relating to the assumption of the duties of the President.
Section 3 – Second Vice President ~ The Second Vice President shall preside in the event of absence or disability of the President and/or First Vice President. The Second Vice President shall be responsible for developing, generating and coordinating procedures to insure Coalition input in those legislative matters affecting Coalition objectives. Deputies may be appointed to assist in the discharging of duties of this office, except for those relating to the assumption of the duties of the President and First Vice President in their absence or disability.
Section 4 – Secretary ~ The Secretary shall record the proceedings of the Conventions and Board of Trustees meetings; maintain the official copies of the Articles of Incorporation and the Coalition By-Laws and amendments thereto; and keep a history and maintain the archives of the Coalition. The Secretary shall be responsible for the official correspondence of the Coalition to include filing and recording such papers. The Secretary shall communicate to member chapters, associations and individual members the proposed amendments to Coalition By-Laws as approved by Board, and summaries of the proceedings at Conventions and Board of Trustee meetings.
Section 5 – Treasurer ~ The Treasurer shall receive, deposit, account and disperse all Coalition monies as authorized by the Board of Trustees and approved by the President. The Treasurer shall submit a financial report to the Convention at its annual meeting.
Section 6 – Nominating Committee ~ A Nominating Committee shall be appointed annually by the President with the approval of the Board of Trustees, to propose a slate of nominees for election to the Board of Trustees. This slate will be presented for consideration by delegates to the Convention by the Chair of the Nominating Committee.
Section 7 – Time and Place ~ A Time and Place Committee shall be appointed annually by the President with the approval of the Board of Trustees to present location, dates and sites of available facilities for the Coalition Convention for the following year.
Section 8 – Resolutions Committee ~ A Resolutions Committee shall be appointed annually by the President with the approval of the Board of Trustees for the review of any proposed resolutions, and recommendations thereon. Proposed resolutions recommended by the Committee will be presented at the next annual convention for action by convention delegates.
Section 9 – Database Administrator ~ A Database Administrator shall be appointed annually by the President with the approval of the Board of Trustees. The Database Administrator shall maintain the Coalition’s database which includes name and address information of member chapters and associations, the officers of these respective chapters and associations, and individual members. The Administrator shall maintain a membership database and send membership renewal notices each year and make reports to the Board at their quarterly meetings on the status of the membership in the Coalition. The Administrator shall receive a monthly stipend, set by the Board, for these services. Information contained in the Coalition data base must be maintained in the strictest confidence and shall not be disclosed for any purpose other than the conduct of Coalition business.
Section10 – Additional committees or positions may be appointed by the President with the approval of the Board of Trustees as the need arises. These appointments or positions shall terminate when the purpose for which appointed has been achieved.
ARTICLE X ~ OFFICIAL PUBLICATION
Section 1 – The Coalition shall publish an official publication for distribution to all member chapters, associations and individual members quarterly.
Section 2 – The President with the approval of the Board of Trustees shall appoint an Editor and other associates as it may deem necessary to assemble, edit, and publish and distribute Coalition information and data from conventions, meetings, and articles submitted by individual members as deemed appropriate.
ARTICLE XI ~ AMENDMENTS
Section 1 ~ These By-Laws may be amended at a Coalition convention by a two-thirds vote of the delegates present and voting.
Section 2 – Proposed amendments to the By-Laws shall be submitted by member chapters, associations and individual members at least 80 days prior to the Convention to the coalition Secretary in writing. The Secretary will present all proposed amendments to the Board of Trustees for review. Amendments approved by the Board of Trustees shall be made available to all member chapters, associations, and individual members by the Secretary not less than 30 days before the scheduled Convention. These proposed amendments shall be presented and voted upon by the delegates at the Convention.
Section 3 – Amendments to the By-Laws adopted at a convention shall become effective upon approval by the convention delegates.
